Subscription service agreement
The agreement for organisations subscribing to Consuite.

This Subscription Service Agreement ("Agreement") is entered into between Consuite Pty Ltd ("Consuite", "we", "us", or "our") and the organisation on whose behalf you are subscribing ("Customer", "you", or "your"). By starting a paid subscription you agree to be bound by this Agreement. This Agreement incorporates, and is in addition to, our Terms of Service and Privacy Policy. Where this Agreement conflicts with the Terms of Service on a billing matter, this Agreement prevails.
You confirm that you are authorised to enter into this Agreement on behalf of the Customer organisation and to bind it to these terms.
Nothing in this Agreement excludes, restricts or modifies any guarantee, right or remedy you have under the Australian Consumer Law or any other law that cannot be excluded. Where those rights apply, they prevail over anything in this Agreement.
1. Subscription & Licences
Your subscription consists of an organisation plan plus the per-user licences you select at checkout. The plan sets your organisation-wide entitlements (such as storage and project limits); each licence sets what an individual team member can do.
Licences are subscribed on a named-user basis. You may add licences at any time; additions take effect immediately and are charged pro-rata on your next invoice. You may remove licences or move to a lower plan at any time; reductions take effect at your next renewal, with the lower rate applying from that period onwards. Reductions do not generate a refund or credit for the unused part of the current period. You are responsible for assigning and managing licences among your team members.
2. Fees & Billing Cycle
You agree to pay the fees for your selected plan and licences at the prices shown at checkout. All prices are in Australian Dollars (AUD) unless otherwise stated. Subscription fees are billed in advance for each billing period.
You may choose a monthly or annual billing cycle. Monthly subscriptions are billed each month; annual subscriptions are billed once for the year and, by convention, are priced at a discount to the equivalent monthly rate. You authorise us (and our payment processor, Stripe) to charge your nominated payment method for all recurring fees, applicable taxes, and any one-time fees as they fall due.
3. Setup & Implementation Fees
A one-time setup and implementation fee may apply to your first subscription, as shown at checkout. Where a setup fee applies, it covers your onboarding and your first month of service, and recurring billing commences after that first month.
On annual plans you may elect to pay the setup fee up front or to spread it across twelve monthly instalments. One-time setup and implementation fees are non-refundable once your subscription has started. Subsequent plan changes made through the billing portal do not incur a further setup fee.
4. Automatic Renewal
Your subscription renews automatically at the end of each billing period (each month or each year) unless you cancel before the renewal date. On renewal we charge the then-current fee for your plan and licences using your nominated payment method.
So that a renewal is never a surprise, we will email your billing contact 7 days before a free trial converts to a paid subscription, 7 days before a monthly renewal, and 30 days before an annual renewal.
You may cancel automatic renewal at any time through your billing settings or the billing portal, at any point up to the renewal date. There is no notice period and no cancellation fee. Cancellation takes effect at the end of your current paid period.
5. Taxes
Fees are exclusive of GST and any other applicable taxes unless stated otherwise. Where GST or a similar tax applies, it will be added to your invoice and payable by you. You are responsible for any withholding taxes and for providing accurate billing and tax details.
6. Price Changes
We may change our fees. We will give you at least 30 days' notice of any price change, and the change will take effect from your next billing cycle after the notice period. If you have opted in to repricing on renewal, updated prices apply from your next renewal; you may opt out of automatic repricing in your billing settings. If you do not accept a price change, you may cancel before it takes effect.
7. Failed Payments
If a payment fails, we may retry the charge and will attempt to notify you. If fees remain unpaid, we may suspend or downgrade your subscription until payment is received. You remain responsible for fees accrued up to the effective date of any cancellation.
8. Cancellation & Refunds
You may cancel your subscription at any time, yourself, through your billing settings — there is no notice period and no cancellation fee. Access continues until the end of your current paid period, after which the subscription will not renew.
New subscriptions carry a 30-day money-back guarantee on your organisation's first paid invoice, refunded pro-rata for the unused portion. The guarantee does not extend to renewals, to licences or upgrades added after that first invoice, or to one-time setup and implementation fees, which cover onboarding work already performed.
Outside that guarantee, fees already paid for the current period are not refunded, except where a refund is required by law (including under the Australian Consumer Law), where we have charged you in error, where we materially fail to deliver the service, or where we end your subscription for our own convenience.
Our Refund & Cancellation Policy sets out the full detail, including how to claim, how mid-cycle plan changes are credited, and what happens to your data. It forms part of this Agreement, and where it gives you a broader remedy than this clause, the Refund & Cancellation Policy applies.
9. End of Subscription & Data Lifecycle
When a paid subscription ends — for any reason, including where a refund brings it to an end — your workspace enters a read-only grace period of 90 days. During the grace period you retain read access to your data and may reactivate at any time by resubscribing. You may also take up a paid data vault to retain your workspace beyond the grace period.
If you neither resubscribe nor take up a data vault, your workspace is scheduled for deletion after the grace period, after which your data is permanently deleted. Deleted data may persist in encrypted backups for up to a further 35 days before those backups are cycled out, and is not restorable to your account during that time. We retain billing and tax records (invoices, payments and refunds — not your project content) for 7 years as required by Australian tax law.
Deletion follows from the subscription ending; it is never a condition of receiving a refund you are owed. You may export your data through the platform's export features at any time before deletion, and may ask us to delete your workspace immediately rather than waiting out the grace period. We may suspend access immediately where required for security, legal, or abuse reasons.
10. Service Availability
We strive to maintain high availability but do not guarantee uninterrupted access. We may perform scheduled maintenance with reasonable advance notice. Except to the extent required by the Australian Consumer Law, we are not liable for downtime or service interruptions caused by factors beyond our reasonable control.
11. Your Data & Confidentiality
You retain all rights to the data you and your organisation members enter into the platform. We handle your data in accordance with our Privacy Policy and use it only to provide and improve the service. Each party agrees to keep the other's confidential information (including pricing and account details) confidential.
12. Warranties & Limitation of Liability
To the maximum extent permitted by Australian law, the platform is provided "as is". Our total liability for any claims arising from your subscription is limited to the amount you paid us in the 12 months preceding the claim, and we are not liable for indirect, incidental, special, or consequential loss, or for loss of data, revenue, or business opportunities. Nothing in this Agreement excludes or limits any liability that cannot be excluded or limited under the Australian Consumer Law.
13. Term & Changes to this Agreement
This Agreement applies for as long as you maintain a paid subscription. We may update this Agreement from time to time and will notify you of material changes at least 30 days before they take effect. Your continued subscription after changes take effect constitutes acceptance of the updated Agreement.
14. Governing Law
This Agreement is governed by the laws of Australia, and each party submits to the exclusive jurisdiction of the courts of Australia.
