These Terms of Service ("Terms") govern your access to and use of the Consuite platform and related services provided by Consuite Pty Ltd ("Consuite", "we", "us", or "our"). By creating an account or using our platform, you agree to be bound by these Terms.
1. Account Terms
You must be at least 18 years old to use our platform. You are responsible for maintaining the security of your account credentials and for all activity under your account. You must provide accurate and complete registration information.
Organisation administrators are responsible for managing user access and permissions within their organisation. Each user must have their own individual account.
2. Acceptable Use
You agree to use the platform only for lawful purposes related to construction project management and business operations. You must not:
- Violate any applicable laws or regulations
- Attempt to gain unauthorised access to other accounts or systems
- Upload malicious code, viruses, or harmful content
- Use the platform to harass, abuse, or harm others
- Interfere with or disrupt the platform or its infrastructure
- Reverse engineer, decompile, or disassemble any part of the platform
- Use automated tools to scrape or extract data from the platform
- Resell, sublicence, or redistribute access to the platform without our consent
3. Subscriptions & Payment
Access to the platform requires a paid subscription. Subscription plans, pricing, and features are as described on our pricing page. All prices are in Australian Dollars (AUD) unless otherwise stated.
Subscriptions are billed in advance on a monthly or annual basis. You authorise us to charge your payment method for recurring subscription fees. You may cancel your subscription at any time, with access continuing until the end of your current billing period.
We reserve the right to modify pricing with 30 days' notice. Price changes will apply from your next billing cycle.
4. Your Data
You retain all rights to the data you and your organisation members enter into the platform ("Your Data"). You grant us a limited licence to use Your Data solely to provide and improve our services.
You are responsible for the accuracy and legality of Your Data. You must ensure you have the necessary rights and consents to upload and process any data through our platform.
We handle Your Data in accordance with our Privacy Policy. You may export Your Data at any time through our platform's export features.
5. AI Features
Our platform includes AI-assisted features powered by third-party AI models. When using AI features:
- Relevant data from your organisation may be sent to AI providers for processing
- AI outputs are provided as suggestions and should be reviewed before use
- We do not guarantee the accuracy or completeness of AI-generated content
- You are responsible for verifying and validating any AI-assisted outputs before relying on them
6. Third-Party Integrations
The platform supports integrations with third-party services (e.g., Xero, Stripe). When you enable an integration:
- You authorise us to exchange data with the connected service as required
- Third-party services are governed by their own terms and privacy policies
- We are not responsible for the availability or functionality of third-party services
- You may disconnect integrations at any time through your settings
7. Intellectual Property
The Consuite platform, including its design, code, features, documentation, and branding, is owned by Consuite Pty Ltd and protected by intellectual property laws. Your subscription grants you a limited, non-exclusive, non-transferable licence to use the platform for its intended purpose.
You may not copy, modify, distribute, or create derivative works of any part of the platform without our written consent.
8. Service Availability
We strive to maintain high availability but do not guarantee uninterrupted access. We may perform scheduled maintenance with reasonable advance notice. We are not liable for any downtime, data loss, or service interruptions caused by factors beyond our reasonable control.
9. Limitation of Liability
To the maximum extent permitted by Australian law:
- The platform is provided "as is" without warranties of any kind, express or implied
- We are not liable for any indirect, incidental, special, consequential, or punitive damages
- Our total liability for any claims arising from your use of the platform is limited to the amount you paid us in the 12 months preceding the claim
- We are not liable for any loss of data, revenue, or business opportunities
Nothing in these Terms excludes or limits liability that cannot be excluded or limited under Australian Consumer Law.
10. Indemnification
You agree to indemnify and hold harmless Consuite, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from your use of the platform, violation of these Terms, or infringement of any third-party rights.
11. Termination
Either party may terminate these Terms at any time. You may cancel your account through your account settings or by contacting us. We may suspend or terminate your account if you violate these Terms or engage in conduct that is harmful to other users or the platform.
Upon termination, your right to access the platform ceases immediately. We will retain Your Data for 30 days following termination, after which it will be permanently deleted.
12. Changes to These Terms
We may update these Terms from time to time. We will notify you of any material changes by email or through our platform at least 30 days before they take effect. Your continued use of the platform after changes take effect constitutes acceptance of the updated Terms.
13. Governing Law
These Terms are governed by and construed in accordance with the laws of Australia. Any disputes arising under these Terms will be subject to the exclusive jurisdiction of the courts of Australia.
